OPERATIONAL DOCUMENT and BYLAWS


Article I Name and Purpose

The corporation, “Greener Pastures for Seniors”, is organized exclusively for religious, charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986(or corresponding provision of any future United States Internal Revenue law) including, but not limited to; improving care for senior citizens and other disabled persons in the following ways:

  1. Establishing and maintaining mobile medical units to provide health care to home bound senior citizens, and other disabled persons of all ages.
  2. Establishing and maintaining activity workshops for senior citizens.
  3. Provide support to caregivers by offering occasional “Day-Out” events or activities.
  4. Working with local churches to open faith-based nursing facilities.
  5. Provide a variety of helps to senior citizens through working with other 501(c)(3) organizations.
  6. And any other charitable activity that meets the operation guidelines of a 501(c)(3) organization and a non-profit organization within the State of North Carolina.

Article 2 Statement of faith

Greener Pastures for Seniors upholds the base fundamentals of the gospel. These base fundamentals include that Jesus Christ is God’s only begotten Son, born of a virgin, He died for our sins, was buried, and was resurrected on the third day and that salvation is obtained by believing on Jesus Christ and his shed blood for the forgiveness of sins. We believe in the inerrancy and inspiration of Scripture, the Trinity, and that a Christian’s responsibility is to love God and his neighbor.

Article 3 Membership

The qualifications of membership are to accept the statement of faith and to have a genuine desire to help improve the care of the elderly. Members are expected to attend and support fundraisers and other projects for the corporation. Members should be active in volunteering to aid the well being of older adults. A yearly membership fee of $10 will be required and a member must sign the statement of faith.

Article 4 Officers

The following officers will serve unlimited five-year terms: President, and Vice-President(s). The positions of President and Vice-President(s) will be elected by the Board of Directors, officers and membership. The following officer positions will be appointed by the President and Vice President(s): Secretary, Treasurer, and Medical Advisor. If for any reason an officer wishes to resign prior to their full term, the office will be re-elected at the next scheduled business meeting.

Officers must adhere to and accept organizations statement of faith.

Article 5 Duties of Officers

President Oversee the duties of other officers. Insure the organization is meeting all the legal and governmental requirements. See that financial reporting is valid and work closely with the treasurer to insure that donations, cash-flow, and documentation are in order for year-end reporting. Encourage and help officers in any way possible. Appoint members as Project Managers over fundraiser events and other functions.

Vice-President Assist the President in his/her duties. Work with church Pastors, public leaders and media for publicity for the group. Assist in getting church pastors to contribute a monthly amount for their church members to the mobile medical unit. Speak at fundraiser events and with public leaders on the worthiness of this cause.

Secretary Minutes of each meeting. These minutes will be read prior to each meeting. Help with the registration of new members and help keep log of new members. Help send letters for fundraisers and special events. Open meetings and special events in prayer.

Treasurer Responsible for bank deposits and withdrawals. Responsible for paying expenses through “Greener Pastures for Seniors” bank account. Responsible for financial reporting documents needed to aid accountant in reporting for the organization. Documents should include revenue and expense details. President will provide budget worksheet as sample for financial reporting. Treasurer’s report should be read at quarterly meetings.

Medical Advisor Advice the board concerning the operation of the mobile medical unit and duties of the primary care physician.

Article 6 Project Managers/Coordinators

Project Managers – Project Managers will assist with fundraisers and Senior Day Out activities, and other special projects of the corporation. Project Manager(s) may also be appointed for community awareness. Project Manager(s) must be members. Project managers may be appointed by the President and/or Vice President(s).


Article 7 Meetings

The corporation will have a year-end meeting in November to set goals and objectives for the upcoming fiscal year. The meeting will be announced in the form of a newsletter, memo or e-mail. Quarterly meetings will be called and set by the President and or Vice-Presidents and membership will be notified.

Article 8 Unauthorized expenditures

No officer or member should use contributions made to the corporation for their own income or benefit. Authorized expenditures include expenses detailed in Article 9 or for workshops or programs or facilities directly related to “Greener Pastures for Seniors”.

Article 9 Tax exempt provisions

No part of the net earnings of the corporation shall inure to the benefit of or be distributable to its members, directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the tax-exempt purposes of the corporation set forth in the Articles of Incorporation.

No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.

The corporation shall have a racially nondiscriminatory policy and, therefore, shall not discriminate against applicants, students, employees, and others on the basis of race, color or national or ethnic origin.

Upon the dissolution of the corporation, the board of directors shall, after paying or making provision for payment of all the liabilities of the corporation, transfer all assets to a fund, foundation, or organization which is organized and operated exclusively for charitable, religious, or educational purposes and at that time qualifies as an organization Exempt from federal income taxation under Section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law).

Article 10 Designated contributions

Contributions will be designated for expenditures that meet the provisions and purpose of “Greener Pastures for Seniors”. Expenditures over $500.00 must have the approval of at least two (2) offices and signed by the President and Treasurer.

Article 11 Amendments to the bylaws

Amendments may be made to the bylaws at the annual business meeting and at least three (3) officers must be in agreement.
